These Terms of Service (the "Terms") govern your access to and use of the Bikebrain LV website at bikebrainlv.com (the "Site") and any related content, features, and services we make available. The Site is operated by Bikebrain LV ("Bikebrain LV," "we," "us," or "our"), located at 8660 W Cheyenne Ave, Ste 110, Las Vegas, NV 89129. Please read these Terms carefully before using the Site.

1. Acceptance of Terms

By accessing or using the Site, you agree to be bound by these Terms and by our policies referenced here. If you do not agree to these Terms, please do not use the Site. We may update these Terms from time to time, and your continued use of the Site after changes take effect means you accept the updated Terms.

2. About This Site

The Site is a showcase and digital showroom for our bike shop and the services we offer. It is designed to introduce our bikes, custom build options, and signature 360 fitting, and to help you decide whether to come in or get in touch.

Bikes are display-only. We do not sell bikes through online checkout on this Site. You cannot add a bike to a cart, place a bike order, schedule a fitting, or pay a deposit through the website. Instead, all of the following are arranged directly with our team by phone or in person:

  • Bike purchases and reservations
  • Custom builds and component sizing
  • 360 fitting appointments
  • Service and repair work
  • Deposits and payments related to any of the above

To start any of these, contact us at (702) 462-6700 or visit the shop. Information shown on the Site about bikes, builds, and services is provided to help you plan your visit and is not an offer to sell or a binding agreement.

We may, from time to time, offer small accessories or apparel for purchase online. Any such online sales are subject to the ordering and payment terms described below.

3. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to make a purchase or enter into any transaction with us. By using the Site, you represent that you meet this requirement and that any information you provide is accurate and complete. If you use the Site on behalf of a business or another person, you represent that you are authorized to do so.

This 18-and-over requirement is a transaction-eligibility rule and is separate from the data-collection age threshold described in our Privacy Policy, which addresses the personal information of children under 13. The two rules cover different things and are not in conflict.

4. Products, Pricing, and Availability

We work to keep the Site accurate, but the information shown is for general reference and may change at any time without notice. Prices, specifications, availability, and descriptions of bikes, builds, accessories, apparel, and services are informational and may contain errors, inaccuracies, or omissions.

  • Showcase pricing and availability are informational only and do not constitute a binding offer to sell.
  • Final pricing, specifications, lead times, and availability for any bike, custom build, or service are confirmed directly with you by phone or in person.
  • We reserve the right to correct any errors and to update or change information at any time, including after you have viewed it.
  • Photographs and renderings are for illustration and may differ from the actual product.

5. Orders and Payments

For any accessories or apparel we may offer for sale online, the following applies. Submitting an order is an offer to purchase, which we may accept or decline. We reserve the right to refuse or cancel any order, including orders that appear to result from a pricing or description error, suspected fraud, or limits on quantities. If we cancel an order you have already paid for, we will issue a refund to the original payment method. Payment is processed through Shopify and its payment providers, and you agree to provide current, complete, and accurate payment information. Applicable taxes and any shipping charges will be calculated and shown before you complete your purchase.

Shipping. We ship eligible accessory and apparel orders to addresses within the United States unless we state otherwise at checkout. Estimated processing and delivery times, along with any shipping fees, are shown during checkout. Title and risk of loss pass to you when the order is delivered to the carrier.

Returns, refunds, and cancellations. You may request to cancel an accessory or apparel order before it ships by contacting us at (702) 462-6700 or eric@bikebrainlv.com; once an order has shipped, it is handled as a return. Unworn, unused accessories and apparel in original condition, with tags and packaging intact, may be returned within 30 days of delivery for a refund to the original payment method, unless the item is marked final sale. Items that are damaged, worn, or missing parts may receive a partial refund or be declined. Shipping charges are non-refundable, and return shipping is the customer's responsibility unless the item arrived defective or we made an error. Approved refunds are issued within a reasonable time after we receive and inspect the returned item. To start a return, contact us using the details above. This policy applies only to accessories and apparel purchased online and does not apply to bikes, custom builds, fittings, deposits, or service work, which are handled offline as described below.

Bike purchases, custom builds, 360 fittings, service work, and deposits are handled offline, by phone or in person, and are not processed through the Site. Any terms, pricing, deposits, and policies for those transactions are agreed with you directly at the time of the transaction.

6. Intellectual Property

The Site and its contents, including text, graphics, logos, photographs, layouts, and design, are owned by or licensed to Bikebrain LV and are protected by copyright, trademark, and other laws. We grant you a limited, personal, non-exclusive, non-transferable license to view the Site for your own informational and non-commercial use. You may not copy, reproduce, distribute, modify, frame, or create derivative works from any part of the Site without our prior written permission, except as allowed by applicable law.

7. Acceptable Use and Prohibited Conduct

You agree to use the Site lawfully and respectfully. You agree not to:

  • Use the Site for any unlawful, fraudulent, or harmful purpose
  • Attempt to gain unauthorized access to the Site, our systems, or any related networks or accounts
  • Interfere with or disrupt the Site, including by introducing malware, viruses, or harmful code
  • Use any robot, scraper, or automated means to access or collect data from the Site without our permission
  • Copy, resell, or commercially exploit any part of the Site or its content without authorization
  • Infringe the rights of others or violate any applicable law or regulation

We may suspend or terminate your access to the Site at any time if you violate these Terms or if we reasonably believe your conduct may harm us, other users, or third parties.

8. Third-Party Links and Brands

The Site may include links to third-party websites and may reference brand names, trademarks, and logos that belong to their respective owners. Those marks are the property of their owners and are used for identification and reference only. Bikebrain LV is an authorized dealer of a brand only where we expressly state so. The presence of a brand name or logo does not by itself imply any affiliation, endorsement, or dealership beyond what we specifically state. We are not responsible for the content, products, or practices of any third-party website, and access to those sites is at your own risk and subject to their terms.

9. SMS and Text Messaging Terms

Bikebrain LV sends transactional and operational text messages only, tied to your orders, service, and appointments. These include order confirmations, service and repair status updates, and 360 fitting appointment confirmations and reminders. We do not send marketing or promotional text messages.

You receive these messages because you provided your mobile number for a specific order, service request, or appointment and gave express consent to receive transactional and operational texts about it. Consent is not a condition of any purchase.

Message frequency varies based on your orders, service, and appointments. Msg & data rates may apply. All charges are billed by and payable to your mobile service provider. Bikebrain LV will not be liable for any delayed or undelivered messages, as delivery depends on transmission by your wireless carrier and is outside our control.

By providing your mobile number for these texts, you consent to Bikebrain LV collecting and using certain information, including your mobile phone number, your carrier's name, and the date, time, and content of your messages, solely to contact you about the order, service, or appointment you requested. We do not sell, rent, or share your personal information with third-party companies for their marketing purposes. We may share your information with trusted service providers solely to deliver these text messages on our behalf, and those providers are contractually obligated to use it only as needed for that purpose and for nothing else. Your mobile opt-in and consent information will not be shared, sold, or disclosed to unauthorized third parties.

You can stop these texts at any time by replying STOP. After you reply STOP, we send a single confirmation message and then no further texts to that number. For help, reply HELP or contact us at (702) 462-6700 or eric@bikebrainlv.com. Our HELP reply identifies Bikebrain LV and gives our contact details and how to opt out.

10. Disclaimers and No Warranties

The Site and all information, content, and materials on it are provided "as is" and "as available," without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or free of viruses or other harmful components, or that any information on the Site is accurate, complete, current, or reliable. Any reliance you place on the Site is at your own risk. This section does not exclude any warranty that cannot be excluded under applicable law, including warranties that apply to products you actually purchase.

11. Limitation of Liability

To the fullest extent permitted by law, Bikebrain LV and its owners, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of, or inability to use, the Site, even if we have been advised of the possibility of such damages. To the fullest extent permitted by law, our total liability for any claim arising out of or related to the Site or these Terms will not exceed the greater of the amount you paid to us through the Site, if any, in the three months before the event giving rise to the claim, or one hundred U.S. dollars (USD $100). Nothing in this section limits your statutory rights or any refund owed to you for products you actually purchase. Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Bikebrain LV and its owners, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.

13. Governing Law and Venue

These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the State of Nevada, without regard to its conflict of laws rules. You agree that the state and federal courts located in Clark County, Nevada, will have exclusive jurisdiction and venue over any such dispute, and you consent to the personal jurisdiction of those courts.

14. Dispute Resolution

We are not requiring mandatory arbitration, and there is no class-action waiver in these Terms. Disputes arising out of or related to these Terms or the Site are resolved in the state or federal courts located in Clark County, Nevada, as described in the Governing Law and Venue section above. Before filing any claim, we encourage you to contact us at (702) 462-6700 or eric@bikebrainlv.com so we can try to resolve the matter informally.

15. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force and effect.

16. Entire Agreement and Order of Precedence

These Terms, together with our Privacy Policy and any other policies we reference here, make up the entire agreement between you and Bikebrain LV regarding your use of the Site, and they supersede any prior agreements on that subject. If a conflict arises between these Terms and our Privacy Policy, these Terms control with respect to your use of the Site, except that the Privacy Policy controls on matters of how we collect, use, and share personal information. Our failure to enforce any provision is not a waiver of that provision.

17. Changes to These Terms

We may revise these Terms at any time by posting an updated version on the Site. Changes are effective when posted, and the "Last updated" date above shows the most recent revision. Your continued use of the Site after changes take effect constitutes your acceptance of the updated Terms. We encourage you to review these Terms periodically.
